These Terms of Service govern your access to and use of the Thesis website, applications, features, content, and related services.

By accessing or using Thesis, you agree to these Terms of Service and our Privacy Policy. If you do not agree, please do not use Thesis.

About Thesis

Thesis provides tools that help users create, save, organize, and monitor investment theses.

The service may include:

• Company and investment research
• Artificial intelligence-generated content
• Investment thesis-building tools
• Portfolio-monitoring features
• Market data and company information
• News summaries and investment-related alerts
• Competitor, risk, and catalyst analysis

Thesis is designed to help users organize their own investment research. It is not a brokerage, investment adviser, financial planner, or financial institution.

Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use Thesis.

By using the service, you represent that:

Your Account

You are responsible for:

Thesis may use artificial intelligence to generate investment theses, summaries, comparisons, monitoring indicators, risks, catalysts, and other content.

Artificial intelligence can produce information that is inaccurate, incomplete, outdated, misleading, or unsupported.

AI-generated content may:

• Misinterpret company information
• Omit important risks or developments
• Confuse companies, securities, or ticker symbols
• Present estimates as established facts
• Rely on incomplete or outdated source material
• Generate conclusions that differ from the underlying data

Thesis may display information obtained from third-party market-data, news, research, and artificial intelligence providers.

We do not guarantee the accuracy, completeness, availability, sequence, or timeliness of third-party information.

Market prices, financial metrics, company descriptions, analyst estimates, news summaries, and other information may be delayed, incomplete, adjusted, or incorrect.

Information presented in Thesis should not be treated as real-time trading data unless explicitly stated otherwise.

You should confirm current market information through your brokerage or another authoritative source before placing a trade.

Thesis Monitoring and Alerts

Thesis may help you identify developments that appear relevant to an investment thesis.

Monitoring tools and alerts are provided for convenience only. They are not guaranteed to identify every relevant event or deliver information immediately.

You acknowledge that:

• Relevant developments may not be detected
• Irrelevant information may occasionally be included
• Notifications may be delayed or unavailable
• The significance of an event may be interpreted incorrectly
• A thesis status may not reflect the actual quality of an investment
• Technical failures may prevent an alert from being delivered

You remain responsible for monitoring your investments and conducting your own research.

User Content

You may enter, create, save, or upload content through Thesis, including investment theses, assumptions, notes, preferences, watchlists, portfolio records, and monitoring criteria.

You retain ownership of the original content you provide.

By using Thesis, you grant us a limited permission to host, store, reproduce, process, and display your content as necessary to:

• Operate the service
• Provide requested features
• Generate AI-assisted content
• Save and synchronize your records
• Maintain security and reliability
• Improve the service, subject to our Privacy Policy

You are responsible for ensuring that your content does not violate any law or the rights of another person.

Do not enter:

• Account passwords
• Brokerage login credentials
• Bank account numbers
• Payment-card information
• Social Security numbers
• Confidential information belonging to another person
• Material nonpublic information about a publicly traded company

Acceptable Use

You agree not to use Thesis to:

• Violate any law or regulation
• Infringe intellectual-property or privacy rights
• Access another person’s account without authorization
• Introduce malware, malicious code, or harmful software
• Interfere with the security or operation of the service
• Scrape, copy, or extract data through unauthorized automated methods
• Reverse engineer or attempt to discover the service’s source code
• Circumvent account, security, rate, or usage restrictions
• Misrepresent AI-generated content as professional financial advice
• Use the service to manipulate markets or facilitate securities fraud
• Upload unlawful, abusive, deceptive, or harmful material
• Resell or commercially exploit the service without permission

We may investigate suspected violations and suspend or terminate access when reasonably necessary to protect Thesis, its users, or third parties.

Ownership of Thesis

Thesis and its original software, design, branding, graphics, interfaces, features, content, and technology are owned by Thesis or its licensors and are protected by applicable intellectual-property laws.

These Terms provide you with a limited, personal, non-exclusive, non-transferable, and revocable right to use Thesis for its intended purpose.

These Terms do not transfer ownership of Thesis or any related intellectual property to you.

You may not copy, distribute, modify, sell, license, or create derivative works from Thesis except where expressly authorized in writing.

Feedback

You may provide feedback, ideas, suggestions, or recommendations about Thesis.

By submitting feedback, you give us permission to use it without restriction or compensation to improve, develop, market, or operate the service.

This does not transfer ownership of your saved investment theses, portfolio notes, or other personal account content.

Third-Party Services

Thesis may integrate with or rely on third-party services, including:

• Supabase
• OpenAI
• Market-data providers
• News and research providers
• Hosting, analytics, and security providers

Your use of third-party services may be governed by their own terms and privacy policies.

We do not control and are not responsible for the availability, security, content, accuracy, or practices of third-party services.

Links to third-party websites are provided for convenience and do not constitute an endorsement.

Service Availability

We may modify, update, suspend, discontinue, or restrict any part of Thesis at any time.

We do not guarantee that the service will:

• Always be available
• Operate without interruptions
• Be free from bugs or security vulnerabilities
• Support every device or browser
• Preserve every draft or saved record
• Continue offering a particular feature
• Deliver notifications at a particular time

You should maintain independent copies of information that is important to you.

Beta and Experimental Features

Some Thesis features may be identified as beta, preview, experimental, or in development.

These features may be incomplete, unstable, changed substantially, or discontinued without notice.

You use beta and experimental features at your own risk.

Fees and Paid Features

Thesis may offer free and paid features.

Before you purchase a paid feature, we will present the applicable price, billing frequency, and material subscription terms.

Unless otherwise stated, fees are displayed in U.S. dollars.

Additional payment, cancellation, renewal, and refund terms may be presented when paid services become available.

Account Suspension and Termination

You may stop using Thesis at any time.

You may request deletion of your account and stored records by contacting us at the email address below.

We may suspend or terminate your access if:

• You violate these Terms
• Your use creates security or legal risk
• Your account is involved in fraudulent or abusive activity
• Continued access could harm Thesis, another user, or a third party
• We discontinue the service

Sections that logically should continue after termination—including ownership, disclaimers, limitations of liability, indemnification, and dispute provisions—will remain in effect.

Disclaimer of Warranties

To the fullest extent permitted by law, Thesis is provided “as is” and “as available.”

We disclaim all warranties, whether express, implied, or statutory, including warranties of:

• Merchantability
• Fitness for a particular purpose
• Accuracy
• Reliability
• Availability
• Non-infringement
• Security

We do not warrant that Thesis or its content will be accurate, complete, uninterrupted, secure, current, or error-free.

Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

Limitation of Liability

To the fullest extent permitted by law, Thesis and its owners, operators, employees, contractors, affiliates, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of—or inability to use—the service.

This includes losses related to:

• Investment decisions
• Trading losses
• Lost profits or opportunities
• Inaccurate or incomplete information
• AI-generated content
• Delayed or missing alerts
• Data loss
• Service interruptions
• Unauthorized account access
• Reliance on third-party information

You are solely responsible for investment decisions made using information available through Thesis.

To the fullest extent permitted by law, our total liability for claims relating to the service will not exceed the greater of:

• The amount you paid to Thesis during the 12 months before the claim arose; or
• $100

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Thesis and its owners, operators, employees, contractors, affiliates, and service providers from claims, damages, liabilities, losses, and expenses arising from:

• Your use or misuse of the service
• Your violation of these Terms
• Your violation of applicable law
• Your infringement of another person’s rights
• Content you submit through Thesis

This obligation does not apply where prohibited by law.

Changes to These Terms

We may update these Terms periodically to reflect changes to Thesis, applicable law, business practices, or service providers.

The updated Terms will be posted on this page with a revised Last Updated date.

If a change is material, we may provide additional notice through the service or by email.

Your continued use of Thesis after updated Terms take effect means you accept the revised Terms.

Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania and applicable federal law, without regard to conflict-of-law principles.

Any dispute relating to these Terms or Thesis will be handled in the state or federal courts with jurisdiction over Philadelphia County, Pennsylvania, unless applicable law requires otherwise.

You and Thesis consent to the personal jurisdiction of those courts.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.

The invalid or unenforceable provision will be interpreted or modified to the minimum extent necessary to make it enforceable where permitted by law.

Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and Thesis concerning your use of the service.

They replace any prior agreements or understandings relating to the service.
